1. Agreement to Terms
These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and oMazons Ltd ("we," "us," or "our"), concerning your access to and use of our comprehensive Amazon seller management platform and website (https://sp.omazons.com) (collectively, the "Service").
You agree that by accessing the Service, you have read, understood, and agree to be bound by all of these Terms of Service. If you do not agree with all of these terms, you are prohibited from using the Service and must discontinue use immediately.
2. Service Description
The Service provides a comprehensive platform for Amazon sellers to manage their entire business operations, including inventory management, analytics, business automation, and direct-to-consumer shipping capabilities. Features include order processing, inventory tracking, performance analytics, repricing tools, shipping optimization, and customer communications. The Service integrates with Amazon's Selling Partner API (SP-API) to access necessary seller data with user authorization.
3. Amazon Selling Partner API Integration
Our Service integrates with Amazon's Selling Partner API with restricted access permissions. By using our Service, you authorize us to access certain Amazon seller data on your behalf, subject to the following conditions:
- You must have a valid Amazon seller account in good standing.
- You agree to grant us permission to access your Amazon seller data through the SP-API for the sole purpose of providing our Service.
- You acknowledge that your use of our Service must comply with Amazon's policies and terms of service for sellers.
- You may revoke our access to your Amazon seller data at any time by disconnecting your account.
We handle all data obtained through the SP-API in accordance with Amazon's requirements and our Privacy Policy. We do not use this data for any purpose other than providing our Service to you.
4. User Accounts
When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.
You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
5. Subscription and Billing
Certain aspects of the Service may be provided for a fee. You may be required to provide valid payment information to access these features.
If you subscribe to a paid plan, you agree to pay all fees associated with the plan. Fees are non-refundable except as required by law or as explicitly stated in these Terms.
We may change our fees at any time by posting the changes on the Service or by notifying you directly. Continued use of the Service after a fee change constitutes your agreement to pay the modified fee amount.
6. Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of oMazons Ltd and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.
Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of oMazons Ltd.
7. Limitation of Liability
In no event shall oMazons Ltd, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Service;
- Any conduct or content of any third party on the Service;
- Any content obtained from the Service; and
- Unauthorized access, use or alteration of your transmissions or content.
8. Disclaimer
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. oMazons Ltd expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that the Service will meet your specific requirements, be uninterrupted, timely, secure, or error-free.
9. Governing Law
These Terms shall be governed by and defined following the laws of Cyprus, and you and oMazons Ltd irrevocably consent that the courts of Cyprus shall have exclusive jurisdiction to resolve any dispute arising out of or in connection with these Terms.
10. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
